Title: AC4 Sale and assignment of ACS, State and Local Solutions (ACS/SLS), Inc. to ARBOR E&T, LLC

Recommendation:
I recommend that the School Board approve the assignment and assumption of obligations under that certain Contract dated June 1, 2005 by ACS/SLS to Arbor E&T, LLC.

Description:

The School District of Palm Beach County renewed the contract with ACS/SLS  for one year in June 2005, to provide educational services for students who are expelled, recommended for expulsion, and who have behavioral issues that warrant intensive services through Alternative Education.

On November 11, 2005,  ACS/SLS, entered into an Asset Purchase Agreement with Arbor E&T, LLC who agreed to buy the Workforce and Community Solutions line of the ACS/SLS business.

As a result of the sale the School Board being asked for:

        - written consent to assign the contract with ACS/SLS to Arbor E&T, LLC
        - consent to the assumption of the contractual obligations by "Arbor"
        - release of ACS/SLS from further obligations under the current contract

 Arbor represents to the district that they are hiring the existing ACS/SLS staff; therefore this sale would not      compromise the delivery of the previously agreed upon services to our students.
