·          Volution Incorporated is the manufacturer of the District’s Intrusion Alarm Control and Interface equipment.  (Motorola provides the District’s two-way radio communications for the security data).

·          Volution is the sole source for the Intrusion Alarm Control and Interface equipment that is custom designed for the District to interface with the Motorola equipment.  The Emergency RF Locator System will use the Alarm Control and Interface equipment and therefore must be compatible with this system.  Volution has the experience and knowledge of our unique system to complete the installation of the Emergency RF Locator System utilizing the District’s existing Intrusion infrastructure.

·          Volution Incorporated will do the installation and supply the equipment.

·          During installation Volution will work with and train District technicians so they will be able to do post installation maintenance, repairs to ensure that the new system interfaces with the existing Volution MultiVisor system now being used in all District sites.

·          Volution Incorporated exclusively markets this family of products under its registered trade name of MultiVisor.  The hardware and software of all MultiVisor products are proprietary to Volution.  Volution is the sole source for the manufacture, sales, support and service of all MultiVisor hardware and software.   MultiVisor related components are quoted to the Palm Beach School District at a 28% discount. 

·          For every MultiVisor product Volution sells to other school Districts, they will award the Palm Beach School District a royalty equal to a percentage of the corresponding price the District pays for its MultiVisor RF Locator products.  The level of royalty shall be:  15% the first two years, 8% the third to fifth years, 4% sixth to tenth years.   Royalties shall end (=0%) after the tenth year. 

·          The project will be split into four phases with completion scheduled for the end of December 2005.  Payments for each phase to be paid in four $22,500 increments.
